IMPORTANT — READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "You") and Zerosum ("Licensor", "we", or "us"), a company based in Quebec, Canada, for the Lurk Logic desktop software (the "Software").
BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS. IF YOU DO NOT AGREE, DO NOT DOWNLOAD OR USE THE SOFTWARE.
1. GRANT OF LICENSE
Subject to your compliance with this EULA, Zerosum grants you a revocable, non-exclusive, non-transferable, limited lifetime license to download, install, and use the Software on a device owned or controlled by you.
Scope: This license is for your internal business or personal use only.
No Resale: You may not sell, rent, lease, sublicense, distribute, or otherwise transfer the Software or the .exe file to any third party.
No Source Code: You may not reverse engineer, decompile, or disassemble the Software.
2. NATURE OF THE PRODUCT (NO DRM & NO REFUNDS)
2.1 Digital Delivery: The Software is delivered as a downloadable executable file (.exe) without a license key or digital rights management (DRM) restrictions.
2.2 Final Sale (No Refunds): ALL SALES ARE FINAL. Because the Software is a digital good that cannot be "returned" once downloaded, and because we do not utilize DRM to revoke access, we do not offer refunds once the download link has been provided to you.
2.3 Quebec Consumer Protection Act: In accordance with the Consumer Protection Act (Quebec), you expressly acknowledge that the contract is performed immediately upon the availability of the download, and you waive any right to cancellation once the download has commenced.
3. "TOOL VS. WEAPON" & ACCEPTABLE USE
Lurk Logic is a research and analysis tool. It is not a tool for harassment, spam, or abuse. You agree that you are solely responsible for your use of the Software.
3.1 Prohibited Acts ("The Weapon Clause"): You strictly agree NOT to use the Software to:
Violate the Terms of Service of Reddit, Google, or any other platform.
Send unsolicited spam, mass direct messages, or harass users.
Scrape data in violation of applicable privacy laws (including GDPR and Quebec Law 25).
3.2 Immediate Termination: If we discover that you are using the Software for illegal activities or spam ("Weaponizing" the tool), your license is legally terminated effective immediately. While we may not have a "kill switch," continuing to use the Software after termination constitutes willful copyright infringement.
4. THIRD-PARTY DEPENDENCIES ("BYO KEY")
The Software requires third-party services to function. You acknowledge that:
4.1 Google Gemini API: You must provide your own Google Gemini API Key. You are solely responsible for:
Any costs or fees charged by Google.
Compliance with Google’s Generative AI Prohibited Use Policy.
Securing your API key.
4.2 Reddit Access: The Software accesses public Reddit data. We are not affiliated with Reddit Inc.
4.3 No Liability for Bans: Zerosum is NOT responsible if your Reddit account is banned, shadow-banned, or suspended, or if your Google API key is revoked. You assume 100% of the risk associated with automated interactions on these platforms.
5. DATA PRIVACY & LOCAL STORAGE
You acknowledge that the Software operates on a "Local-First" basis.
5.1 User Responsibility: You are the "Custodian" of the data stored on your device. Zerosum does not backup, view, or process your lead data. If your hard drive fails or you lose the .exe file, Zerosum is not obligated to restore your data.
5.2 Compliance: You agree to handle any personal data you collect (e.g., Reddit usernames) in compliance with your local laws (GDPR, CCPA, etc.).
6. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY QUEBEC LAW, ZEROSUM DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SOFTWARE WILL FUNCTION INDEFINITELY IF REDDIT OR GOOGLE CHANGE THEIR API STRUCTURES.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZEROSUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REDDIT ACCOUNT BANS, OR BUSINESS INTERRUPTION). OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Zerosum and its officers from any claims, damages, or legal fees arising out of: (a) your use of the Software; (b) your violation of any third-party Terms of Service (e.g., Reddit, Google); or (c) your violation of this EULA.
9. GOVERNING LAW
This EULA shall be governed by the laws of the Province of Quebec and the laws of Canada applicable therein. Any disputes arising herefrom shall be submitted to the exclusive jurisdiction of the courts sitting in Montreal, Quebec.
